Primary Responsibilities

  • Provide creative, risk-based legal advice to individual business units and broad cross-functional teams on a wide range of payments and e-commerce matters, including in the areas of financial crime risk (sanctions, AML, CFT, other illicit activities risk), anti-corruption/FCPA, emerging payment methods (including mobile wallets, faster payments and other bank-based payments, digital assets, payment optimization efforts, and tokenization), emerging markets, privacy, and other FinTech-related regulations

  • Review and consult on provisions in agreements with customers, vendors and other third parties relating to payments and FinTech, negotiating and drafting as needed

  • Work with Yapstone’s international business teams and local counsels on relevant global issues

  • Assist with financial services regulators and law enforcement agency inquiries in relevant geographies

  • Support responses to user complaints and regulatory inquiries

  • Partner with product team, engineering, compliance, risk, marketing, and local counsel, on a range of issues related to product development and commercialization, including technology innovations, e-commerce, payments, regulatory, consumer protection, marketing, intellectual property, and data privacy, contributing meaningfully to the develop of our payments products, bringing new ideas, and legal expertise to the process

  • Collaborate with our compliance team and others to evolve scalable, legal, and effective processes and policies

  • Prepare and maintain terms of use associated with payments and e-commerce products in various geographies, product policies, customer-facing agreements, and disclosures, collaborating with our compliance team and local counsel

  • Manage outside counsel where/when needed, across multiple jurisdictions, to ensure timely and knowledgeable support of critical projects, deals and initiatives

Requirements

  • JD degree and 5+ years of relevant legal experience

  • Strong knowledge of payment industry laws, legal issues, and business practices, including, BSA, GLBA, Regulation E, EFTA, FCRA, card payment association rules/operating regulations and NACHA rules

  • Familiarity with international payments, advising on the legal and regulatory aspects of payments in the U.S. and internationally

  • Fluency in translating legal advice into actionable guidance, particularly with respect to emerging payment technology, new and alternative payments instruments, and the payments ecosystem (e.g., the role of acquiring and issuing banks, card networks, payment processors, gateways, vendors, etc.)

  • Must be active and in good standing in at least one State Bar in the United States; Canadian lawyers with extensive U.S. experience will be considered

  • Proven flexible, creative, practical, proactive problem-solver who takes initiative and executes

  • Passion for exploring new opportunities and tough challenges with a sense of ownership and urgency, high energy and enthusiasm required for our high-growth, fast-paced, entrepreneurial environment

  • Excellent time management and organizational skills

  • Team player with a “can do” attitude, strong customer service orientation, and a sense of humor

  • In-house experience with a technology or financial services company strongly preferred

  • Strong transactional background drafting and negotiating complex payments and financial services agreements, with strong intellectual property law, privacy, and technology transactions background preferred

  • Detail-oriented with a focus on accuracy without losing focus on timely delivery

  • Able to work independently, prioritize, and adapt quickly to changing circumstances and priorities

  • Demonstrated ability to maintain professional demeanor, especially under time pressure

  • Comfortable interacting at all levels within the company (e.g., senior management, engineering, accounting, tax, human resources and sales personnel) and with international business partners

  • Excellent oral and written communication skills

  • Excellent computer skills required, including advanced skill level with Microsoft Office products
